Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using both the www.sourcehealth.ae website (“the Website”), the 'ArmourCare' Private Health Management Concierge service (the "Services") operated by Source Health, and any other communications.

 

Any references to “we”, “us” or “our” in these terms and conditions shall be to Source Health; references to “user”, “you” or “your” in these terms and conditions shall be to any User of the Company Services or Website; and references to the website, Services or Company will include, where relevant, the services or websites of any Source Health subsidiary’s or associate’s website to which a link is provided on the Company Website (“Group Websites”).

 

  1. Scope of Agreement
     

    1. The user hereby agrees that this Agreement will govern every engagement by the user, to the Company and any associated subsidiary, associate or partner and vice versa, within the Services or via the Company Website.
       

    2. For the purpose of this Agreement, "Engagement" shall include every such engagement, and shall include any use of the Services and the Company Website in the circumstances set out in clause 1.1.
       

  2. Agreement
     

    1. Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all who access or use the Services , Website visitors, Website users and others.
       

    2. By accessing or using the Services you agree to be bound by and comply fully therewith these Terms. If you disagree with any part of the terms then you may not access or use the Services. Source Health may modify this Agreement at any time. You agree to review this Agreement periodically to ensure that you are aware of any modifications. Your continued access or use of the Company website and Services after the modifications have become effective shall be deemed as evidence of your acceptance of the modified Agreement.
       

  3. License
     

    1. Source Health hereby grants you the right to view, access and use the Services, Company Website or any service offered, subject to the terms and conditions of this Agreement. You may download and/or print a copy of information provided to you within the Services or on the Company website for your personal use only. Permission to reprint or electronically reproduce any document or graphic found within client material or on the Website, in whole or in part for any other purpose is expressly prohibited, unless prior written consent is obtained from Source Health.   4. Purchases
     

    1. If you wish to purchase any products or services made available through the Services or Company Website ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your name, mobile number, physical address, email address and any relevant financial information, credit or debit card details.
       

  5. Subscriptions
     

    1. Some parts of the Services are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring monthly basis, as the Services will only be delivered following complete payment.
       

  6. Termination
     

    1. Source Health may terminate or suspend access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or fail to fulfil Subscription(s) relevant to your chosen Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
       

  7. Privacy
     

    1. Source Health takes your personal privacy seriously. In addition to the publicly accessible pages on the Company Website, there are sections on the site where you can request more information or submit personal information to subscribe to mailing lists. Furthermore, within the Services we may collect personal health information to enhance your experience. For information about how we secure personal information, please read section 11. Security below. For Information about how we use and secure a registered user’s information as well as your rights and responsibilities regarding the use of the Services or Company Website, please read our Privacy Statement, which is incorporated by reference into this Agreement. In addition to these policies, the Services fully comply as required by the Health Insurance Portability & Accountability Act of 1996 (HIPAA).
       

  8. Links To Other Group Websites
     

    1. The Source Health Website or Services may contain links to third-party websites or services used within the Services that are not owned or controlled by Source Health. Source Health has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Source Health shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.
       

  9. Intellectual Property Rights
     

    1. A user’s access to the Company Website, Services and the information contained within, does not in any way convey or transfer any right in or to the intellectual property rights of Source Health’s data or information displayed or accessible from the Website and Services or in any of the trademarks, copyright, designs, patents, domain names, know-how, confidential information, trade secrets or any other intellectual property rights which may vest in Source Health or in the author, compiler, creator or licensor of such information.
       

    2. All Source Health’s trademarks, logos, brands, domain names and other marks and intellectual property relating to the Website, or any information contained or accessible from the Services or Company Website, whether registered or not, shall remain the sole and exclusive property of Source Health and the relevant authors or licensors and the user undertakes that it will not use, disseminate, or otherwise deal with such intellectual property without Source Health, the relevant licensor or author’s prior written approval.
       

    3. Copyright and all other intellectual property rights subsisting in any data base/s maintained by Source Health and relating to the Services or Company Website is owned by Source Health or the relevant provider or supplier thereof.
       

    4. A user may only use information retrieved, viewed, downloaded or otherwise obtained with the Services or by viewing the Company Website, for its own personal and non-commercial use and such information and/or data may not be sold, resold, transmitted or otherwise made available or disseminated in any manner via any media to any third parties unless the prior written consent of Source Health has been obtained.
       

    5. The user undertakes not to change or delete any proprietary notices contained in any material, data or information downloaded or otherwise retrieved from the Source Health Services or Company Website.
       

    6. Under no circumstances may a user reverse, engineer, disassemble, decompile, reproduce, transcribe, store in a retrieval system, translate into any language or computer language, retransmit in any form or by any means, (electrical, mechanical, photo reproduction, recordation or otherwise) any of the material, information or content viewed, downloaded or otherwise retrieved the Services or from the Company Website without the prior written consent of Source Health.
       

  10. Content Within the Services or Company Website
     

    1. The content within the Services or Company Website, nor on any Group Website, is intended to provide information relating to Source Health and the services provided by Source Health’s operating divisions, which may include general medical information.
       

    2. The content relating to healthcare services provided by Source Health or Source Health’s associates in no way constitutes a proposal or an offer to provide such services to the user. Nothing contained within the Services, user documentation or within the Company Website or Group Websites is intended to be instructional for medical diagnosis or treatment. The information contained within the Services, user documentation or within the Company Website or Group Websites is not intended to replace or substitute professional medical advice, unless received from Source Health’s associated medical partners, and is merely inserted for general informational and educational purposes. The information does not relate to any particular individual or individuals and under no circumstances should any user rely on the information for purposes of any treatment and/or medical advice.
       

    3. Any person requiring any medical advice or treatment should consult their relevant medical practitioner, Source Health’s associated medical partner or other qualified healthcare professional to suitably diagnose any ailments or diseases and prescribe the relevant treatment.
       

    4. All information viewed or services used or accessed from within the Services or via the Company Website or our Group Websites are provided “as is” without any warranty, whether express or implied. 
       

    5. Source Health does not warrant, hold out or represent that any services, benefits or facilities offered within the Services or on the Company Website or our Group Websites to users or a class of users, such as online booking available to certain registered healthcare professionals will always be available, be accurate, reliable, or perform the functions it was intended to. Users are cautioned against relying on any such service or facility provided and should always independently verify any information or confirmation contained or generated from the Company Website, the Group Websites or any software associated therewith.
       

  11. User Security
     

    1. The user warrants and undertakes that all information, documentation, data and material provided or transmitted to Source Health within the Services or via the Company Website will be accurate, truthful and current and the user is solely responsible for the content of such information, documentation, data and material. 
       

    2. Source Health reserves the right to take any action in relation to any documentation, information, data or material which Source Health may in its sole discretion deem necessarily appropriate, if it believes that the failure to take such action may create any liability whether perceived or otherwise for Source Health or its associates, suppliers, or advertisers who cause Source Health to lose or suffer any harm or damages in any proprietary interest or goodwill or which may adversely affect the provision or access to the Services or Company Website or the services of any of its service providers. In particular, the user undertakes:

      not to violate the privacy of any person or to violate the security of any computer system or network, which shall include but not be limited to:

      the infringing, directly or indirectly, of any third-party copyright, patent, trademark, trade secret or any other proprietary rights or rights to publicity or privacy;

      the violation of any law, statute, ordinance, regulation or public policy in force in England and Wales. In this regard the user undertakes to familiarise itself with and ensure that the user is kept continuously aware of any amendments to such laws or regulations which may be in force from time to time;

      any information, documentation, data or material submitted or provided to Source Health shall not be defamatory, trade libellous, unlawfully threatening or unlawfully harassing, obscene, offensive or in bad taste;

      any files transmitted shall not contain any “viruses”, “Trojan Horses”, “worms”, “time bombs”, “cancelbots” or any other computer programming routines or software that is intended to damage, detrimentally interfere with, intercept or expropriate any system, data or computer network nor to engage any activities which can be regarded as hacking or otherwise interfering with the integrity of Company Services, the Company Website and its supporting infrastructure;

      the commission of any act or any omission which may have adverse technical effects on the integrity or functionality of the Services and Company Website and its supporting servers and infrastructure; and/or

      giving or making available in any way the user’s confidential user ID number to any other person in any manner for such person’s use, and the user undertakes to take whatever steps as may be necessary to ensure the safekeeping and confidentiality of such confidential user ID number and in any event a user shall not disclose same to any third party without Source Health’s prior written consent. A user shall be legally bound by and held responsible for actions taken with confidential user ID number. The user hereby acknowledges that Source Health is entitled to reasonably presume that the user is the transacting party where a specific confidential user ID number has been used to gain access to, view and/or engage in any activity within the Services;

      to immediately notify Source Health should it have any reason to believe that the confidentiality of the user ID number may be compromised; and

      to inform Source Health of any restrictions and/or limitations on the authority of any authorised user who has been given access to documentation within the Services promptly and in writing.
       

  12. Disclaimer and Indemnity
     

    1. Due to the number of sources from which Source Health obtains information and content and the nature of electronic distribution via the worldwide web and internet, except where not permitted by applicable law neither Source Health nor any of its suppliers shall be liable to any user or to any other person in respect of any loss or damage of whatsoever nature caused by or arising from any of the following circumstances:

      resulting from or related to the use or access of, or the inability to use or access, any of the information, content or services provided within the Services or on the Company Website;

      any fact or circumstance beyond the reasonable control of Source Health;

      any breakdown in the service provided by external associated suppliers or partners and the unavailability or defective performance of any software or any of the services available within the Services or on or from the Company Website;

      the performance or unavailability of the Company Website, or any other website to which it is connected or linked;

      any suspension or interruption of access to the Services or Company Website by Source Health;

      any breach of privacy or security by any person or entity;

      the loss, damage, destruction, theft, contamination or corruption of any data, information or content accessible by means of the Services or Company Website;

      the preservation and protection of the integrity of any text or any other form of data, information or content which is contained within the Services or is on or accessible from the Website; 

      any publication or use of any information or data contained within the Services or is on or accessible from the Website; and/or

      a user’s failure to perform any of its obligations under these terms and conditions, including but not limited to a failure to comply with any of the provisions of clauses 6 and 8.

       

    2. Without limiting the generality of the foregoing, neither Source Health nor its associated suppliers or partners shall be liable for any direct, consequential or indirect loss suffered by a user or any other person.
       

    3. While Source Health will use all reasonable endeavours to ensure the integrity, security and confidentiality of all personal information submitted and/or obtained from a user, it will not be held liable under any circumstances if such information is compromised, disseminated or otherwise disclosed through conduct outside the control of Source Health such as hacking, infection by “viruses”, “Trojan Horses” or any other computer programming routines or software that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
       

    4. Source Health hereby disclaims any liability for any and all losses, liability, costs or damage suffered or incurred by a user or any other person arising out of or in connection with the use, provision or distribution of any feature or service which may be promoted, displayed on, or associated with, the Services or the Company Website or any other website which can be accessed from the Company Website, however such loss or liability may occur, and whether such loss or liability is financial, personal, consequential, incidental or otherwise.
       

    5. Source Health does not warrant or represent that the functions, facilities or services or content contained within the Services or on the Company Website, or access to the Website or any part thereof, will be uninterrupted or error free, that defects will be corrected, or that anything related to the Services or the Company Website and/or the server that makes it available to a user, is free of viruses, infections, bugs or the like, nor does Source Health make any warranty or representation, whether express or implied, as to the reliability, accuracy, usefulness, adequacy, quality, currency, completeness, suitability, fitness for any purpose or otherwise of any of the information, services, facilities, data or material displayed within the Services or on or accessed from the Company Website.
       

    6. The user hereby indemnifies and holds Source Health and its associated suppliers or partners harmless against any and all claims in respect of any loss or damage referred to in clauses 11.1 to 11.4 of these terms and conditions.
       

    7. Notwithstanding the foregoing, no provision in these terms and conditions excludes or limits, or purports to exclude or limit, in any way our liability to you where it would be unlawful to do so.
       

  13. Online Communications
     

    1. Where any user is permitted to participate in online communications such as requesting information, receiving alerts, sending and receiving e-mail, engaging in conferences, downloading and uploading files and other uses permitted and utilised by Source Health, such access and participation is subject to the following: 

      files that may be uploaded, public messages sent and a user’s activity in conferences are subject to review, modification and deletion without notice by the representative of Source Health responsible for the administration in the area where the activity takes place;

      Source Health’s operating policy relating to online conduct, storage and deletion of e-mail and uploading files, conferences, bulletin boards and other matters are available and/or will be made available online. Source Health reserves the right in its sole discretion to change such policies at any time and from time to time; and

      files uploaded to a bulletin board may be subject to limitations on usage, reproduction and dissemination and users are responsible for adhering to such limitation should they download same.

       

    2. Users are specifically prohibited from engaging in any of the following activities: 

      posting or transmission of any message which is or is likely to be interpreted as libellous, harmful, threatening, abusive or defamatory in the opinion of Source Health;

      posting or transmission of any message, data, image or program which is indecent, obscene or pornographic;

      posting the same note more than once (“Spamming”);

      interception or attempted interception of e-mail or other private communications not intended for that user;

      use of software within the Services or the Company Website as a mass unsolicited distribution medium to communicate a generally unsolicited message; and/or

      sending unsolicited e-mail messages through third-party mail service in order to relay, hide the origin of the e-mail to others.

       

    3. A user’s participation in online communications occurs in real time and is not edited, censored or otherwise controlled by Source Health. Source Health cannot and does not screen content provided by users during online communications. Notwithstanding the foregoing, Source Health reserves the right to monitor and record content in online communications, but is not obliged to do so. Source Health reserves the right to remove content which Source Health in its sole discretion determines to be harmful, offensive or otherwise in violation of these terms and conditions or Source Health’s operating policies.
       

  14. Third-party Rights
     

    1. The provisions of these terms and conditions are stipulated for the benefit of Source Health, its officers, directors, employees, agents, licensors, suppliers or partners and information providers. Each of these persons or entities shall have the right to assert or enforce any of these provisions directly against the user on its own behalf which persons or entities hereby accepts such stipulation.
       

  15. Changes
     

    1. Source Health reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
       

  16. Entire Agreement
     

    1. No variation to these terms on behalf of the Company can be made otherwise than in writing signed by a director of the Company. This Agreement shall be governed by the laws of the United Arab Emirates.
       

    2. Any dispute, difference, controversy or claim arising out of or in connection with this contract, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre (“the DIFC Courts”).
